Commercial Contract Manager

As our Commercial Contract Manager, you will be working together with our Sales and Project Management teams to ensure that commercial transactions and business operations are commercially sensible, complies with Weir policy and other requirements. Reporting to the Management Director of Weir Minerals Netherlands you are responsible for overseeing and managing the commercial affairs of our company. In this position you will work closely together with the Commercial Officer, who has a direct reporting line to you.
Key responsibilities

Legal Compliance: Working hand in hand with the Group/Corporate and IP Legal Functions, ensure the company’s compliance with relevant laws, regulations, and industry standards pertaining to commercial activities. Stay updated on changes in legislation that may impact the organization’s operations and advise management accordingly.

Contract Management: Review, draft, negotiate, and manage a wide range of commercial contracts such as sales agreements, vendor contracts and licensing agreements. Ensure that contracts align with the company’s objectives while minimizing legal risks.

Risk Assessment and Mitigation: Identify potential commercial risks associated with commercial activities and develop strategies to mitigate them. Conduct risk assessments, provide guidance on risk management practices, and implement appropriate measures to protect the company’s interests.

Assistance with dispute resolution: Collaborate with internal stakeholders, the Group/Corporate and IP Legal Functions and external counsel to resolve disputes through negotiation, mediation, arbitration, or litigation if necessary.

Legal Guidance: Together with the Group/Corporate Legal Function and the IP Legal Function, provide timely and accurate advice to management on various commercial matters, including but not limited to marketing campaigns, product development, intellectual property rights, data privacy, regulatory compliance, and corporate governance.

Policy Development: Develop and implement policies, procedures, and guidelines related to commercial activities to ensure corporate compliance and promote best practices within the organization.

Business Partner Assistance: Contribute to legal due diligence for mergers, acquisitions, partnerships, or other business transactions to assess potential risks and liabilities. Make recommendations based on findings to support informed decision-making.

Training and Education: Provide training sessions or workshops to employees on commercial and contractual matters relevant to their roles, ensuring a strong understanding of commercial obligations and compliance requirements.

External Relationships: Collaborate with the Group/Corporate and IP Legal Functions in their management of external legal counsel as necessary to address legal matters and represent the company’s interests.

Legal Research: Stay informed about legal developments, precedents, and industry practices related to commercial law. As and when required, involve the Group/Corporate and IP Legal Functions to conduct legal research to support decision-making and to provide up-to-date advice.
Please note that this role is not a Group legal role. This role will work closely with the Group Legal function, and in a manner consistent with Group Legal policies, but is not expected to and will not provide legal advice.

Qualifications

A relevant Business, Legal or Financial degree specialising in the field of commerce, commercial law, contracts or financial modelling;

Minimum 10 years of experience in a contracts management, commercial law or projects management environment intricately involved in developing commercial proposals and seeing it through the contract negotiations, contract signing and project execution phases in a multinational company;

Strong knowledge of commercial law, contract law, intellectual property law, and regulatory frameworks;
-
Fluency in the Dutch and English language, verbally as well as in writing;
-
Good commercial sense and strong writing and communication skills.

Ability to read, analyze and interpret complex contracts
-
Ability to summarize issues, risks from complex contracts and communicate these effectively
-
Ability to draft detailed contract clauses and scopes of work
-
Ability to understand commercial ramifications of legal contract provisions / translate contractual exposure into an effective commercial solution for the business.

Sound judgment and ability to assess risks accurately.
